What is Meeting Minutes?

Minutes are the official written record of what a board or membership meeting decided, and they are generally available to owners on request.

Minutes record actions, not conversation: attendance, quorum, motions made and seconded, vote counts, and resolutions adopted. Detailed narratives of debate create risk without benefit; concise, accurate action records protect the board.

Minutes are the primary evidence that the board met its duty of care. If a decision is later challenged, minutes showing the board reviewed alternatives and voted in an open meeting are the defense.

Owners generally have a statutory right to inspect minutes, with executive session minutes often redacted or withheld.
